Terms of Service
These Terms govern your access to Cruxl's websites, applications, AI features, collaboration tools, and related services.
1. Agreement and operator
These Terms form a binding agreement between you and Cruxl ("Cruxl," "we," "us," or "our"). By creating an account, purchasing a subscription, or using the Service, you agree to these Terms and the policies linked below. If you use Cruxl for an organization, you represent that you may bind that organization.
If you do not agree, do not use the Service.
2. Eligibility
You must be at least 18 years old and legally able to enter into a contract to use Cruxl. The Service is not directed to children or offered for use by anyone under 18.
3. Accounts
- Provide accurate account information and keep it current.
- Keep your credentials confidential and do not share accounts.
- Promptly notify contact@cruxl.app of suspected unauthorized access.
- You are responsible for activity performed through your account unless caused by our breach of these Terms.
4. The Service and changes
Cruxl helps users capture text, voice, notes, and files; organize that material into maps; collaborate; and generate AI-assisted suggestions and analysis. Features, limits, models, and availability may change. We may modify, suspend, or discontinue parts of the Service, but will provide reasonable notice when a material change adversely affects an active paid subscription where practicable.
5. Your content
You retain your rights in content you submit, upload, create, or store in Cruxl ("User Content"). You grant us a worldwide, non-exclusive, royalty-free license to host, copy, transmit, process, display, and modify User Content only as needed to operate, secure, support, and improve the Service, comply with law, and follow your sharing and collaboration instructions.
- You must have all rights and permissions needed to submit User Content.
- You are responsible for deciding what information to submit, including confidential or sensitive information.
- Public links and collaborator invitations make selected content available to the people you authorize.
- Feedback may be used without restriction or compensation, but we will not identify you publicly without permission.
6. AI features
- AI output may be inaccurate, incomplete, biased, offensive, or unsuitable for your purpose.
- Output may not be unique, and other users may receive similar output.
- You must review output before relying on, publishing, or acting on it.
- Cruxl does not provide medical, legal, financial, mental-health, safety-critical, or other professional advice.
- You may not use Cruxl to make decisions that produce legal or similarly significant effects about another person without appropriate human review and lawful authority.
7. Acceptable use
You must comply with our Acceptable Use Policy, which is incorporated into these Terms. We may investigate violations and remove content, restrict features, suspend accounts, or report conduct when reasonably necessary to protect users, Cruxl, or the public.
8. Subscriptions, billing, and refunds
Paid plans are governed by our Subscription and Refund Terms. Prices, included usage, renewal frequency, and taxes are shown before purchase. Paid subscriptions renew automatically until canceled.
9. Cruxl intellectual property
Cruxl and its licensors own the Service, software, visual design, trademarks, documentation, and all related intellectual property, excluding User Content. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable right to use the Service for its intended purpose.
You may not copy, sell, sublicense, reverse engineer, bypass access controls, extract models or source code, or use the Service to build a competing model or service except where applicable law does not permit that restriction.
10. Third-party services
The Service relies on third-party providers, including hosting, database, AI, and payment providers. Their services may be subject to separate terms and may experience outages or changes outside our control. Our current providers are listed on the Subprocessors page.
11. Termination
You may stop using Cruxl or delete your account at any time. We may suspend or terminate access for a material breach, fraud, security risk, legal requirement, nonpayment, or conduct that creates harm or liability. When reasonable, we will provide notice and an opportunity to cure.
Provisions that by their nature should survive termination will survive, including ownership, disclaimers, liability limits, indemnity, and dispute terms.
12. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE AND ALL OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE." CRUXL DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE.
We do not warrant that the Service will be uninterrupted, error-free, secure, or that content or output will be accurate or preserved. Some jurisdictions do not allow certain disclaimers, so these disclaimers apply only to the extent permitted by law.
13. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CRUXL WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, EVEN IF ADVISED THAT SUCH DAMAGES ARE POSSIBLE.
CRUXL'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID CRUXL IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY OR (B) US$100. These limits do not apply where prohibited by law or to liability that cannot lawfully be limited.
14. Indemnification
To the extent permitted by law, you will defend, indemnify, and hold harmless Cruxl and its personnel from third-party claims arising from your User Content, your unlawful or unauthorized use of the Service, or your material breach of these Terms. This obligation does not apply to the extent a claim results from Cruxl's own unlawful conduct.
15. Disputes and governing rules
Before filing a claim, contact contact@cruxl.app and provide a description of the dispute. The parties will try in good faith to resolve it informally for 30 days. Any unresolved dispute may be brought in a court with lawful jurisdiction. Nothing in these Terms limits mandatory consumer rights or your ability to seek relief from a regulator or small-claims court where available.
16. Changes to these Terms
We may update these Terms. For material changes, we will provide reasonable notice through the Service, email, or another appropriate channel before the changes take effect. Continued use after the effective date means you accept the updated Terms. Changes do not retroactively reduce rights already accrued where prohibited by law.
17. General
These Terms and incorporated policies are the entire agreement about the Service. If a provision is unenforceable, it will be limited to the minimum extent necessary and the remainder will remain effective. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them as part of a merger, financing, reorganization, or sale of assets.
